Affiliate Terms & Conditions

a-hub service agreement

To be an Affiliate of a-hub you agree to abide by the terms and conditions contained in this Service Agreement. Please read this agreement carefully before registering and using the a-hub service. By completing the signup page and using the a-hub service you indicate your acceptance of this Agreement and its terms and conditions.

This Service Membership Agreement (the "Agreement") is made by and between FatFish Media Limited (trading as "a-hub"), Suite 404 Albany House, 324-326 Regent Street, London, W1B 3HH and you, as user of this service ("You", "Affiliate").

Definitions

"Affiliate's website" means the pages of Affiliate's website, as indicated in Affiliate's registration form and Affiliate's profile.

"Link" means a hyperlink placed on an Affiliate's site that, when clicked on, serves Merchant's web page to the user's browser. Links may be in the form of text, a button, a banner or any other acceptable format.

"Visitor" means any person, web surfer or user that clicks on a Link placed on a Affiliate's site.

"Service" means a-hub service made available to affiliates.

"Merchant" is a person or entity who (i) advertises their products or services on websites listed on a-hub; or (ii) provides aggregated data feeds of products or services available from other entities which are displayed on websites listed on a-hub.

Changes to the Agreement

a-hub reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In either such case a-hub will notify Affiliates via e-mail, newsletter or the a-hub website of such changes, at which time Affiliates may either agree to such changes or terminate relationship with a-hub.

a-hub discretion

Affiliate acknowledges and agrees that a-hub may reject any application to become an Affiliate in its sole discretion and any preliminary acceptance of these terms by the Affiliate and may in its discretion at any stage during the term terminate this Agreement without liability to the Affiliate.

Commission and payments

a-hub will pay Affiliates commission for each valid transaction, lead or product search and Click Through, excluding VAT.

a-hub has no obligation to pay Affiliate fees for search queries, transactions or leads that were not generated by means of a valid request or do not otherwise fit the definition or requirements of a genuine transaction, lead or product search.

Commission payment for the month will be calculated on or after the 5th day of the calendar month following the month in which the commissions were earned.

a-hub shall pay the commission due to Affiliates once the Merchant has paid a-hub in respect of the valid transactions. a-hub will endeavour to pay the commission to the Affiliates during the month following payment by Merchant to a-hub.

If a-hub is unable to recover sums due from the Merchant, then a-hub will not be under an obligation to pay the commission in question to the Affiliate.

The minimum payment amount is £10.00. Any commissions earned below this threshold will be carried forward until such time that the commission payable to the Affiliate exceed the minimum threshold.

Once the commission payment has been processed, a self-billing invoice will be raised (inclusive of VAT where appropriate) and will be made available for download from the a-hub website.

You must be a UK based affiliate. You can choose either BACS, cheque or PayPal as a payment method.

You will be paid if you have supplied the following information:

• Full name
• Company name (if appropriate)
• Full address
• Full bank account details or PayPal e-mail address
• Valid UK VAT number (where appropriate)
• You have filled out, signed and returned a self-billing agreement (download here)

a-hub reserve the right to withhold payment for any reason including, but not limited to, suspicion of fraudulent activity.

Money credited to your account does not accrue interest.

Accepted use of service

You represent to a-hub that all content you provide to the Service is solely owned by you or provided by you with the express authority of the company you represent, does not infringe upon any other individual's or organisation's rights (including, without limitation, intellectual property rights) and is not defamatory, libelous, unlawful or otherwise objectionable.

Any Link or Banner placed must be done so in such a way that it is not misleading to any Visitor and done so with the intention of delivering valid transactions or leads to the related page for that Link.

You are only allowed to place links to a-hub merchants on the website(s) you submitted during the registration process. You must notify us should you wish to change the website you promote Merchant's on.

a-hub reserves the right to deem any site inappropriate and terminate your membership as an Affiliate of a-hub. If you are terminated from the Service, a-hub has the right to withhold money you earned within the Service.

You shall not provide, promote, distribute, place or otherwise publish as an Affiliate of the service any content, or website that includes content, which is libelous, defamatory, obscene, pornographic, abusive, fraudulent or violates any law. You remain solely responsible for your content and website.

Limitation of Liability

This website is available to you "as is" and "as available" basis without any representation or endorsement made. We will not be liable for any business loss (including but not limited to loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any indirect or consequential loss arising in connection with this Agreement if such losses were not reasonably foreseeable to both you and us when this Agreement was formed. Further, our aggregate liability arising with respect to this Agreement and will not exceed the total commission paid or payable to you under this Agreement at the time that the event giving rise to the liability arises.

We cannot accept liability for the services provided by any of the service providers or merchants featured on this site. We do not endorse or take responsibility for the performance of any product or service listed on a-hub.

Confidentiality

During the term of this Agreement, Affiliate may have access to certain information from or about a-hub which we may consider confidential. Confidential information does not include information that is generally known and available, or in the public domain through no fault of Affiliate. Affiliate agrees not to disclose any confidential information to any third parties and not to use any confidential information for any purposes except to carry out its rights and responsibilities under this Agreement. Affiliate shall make no representations regarding the association between any of a-hub and Affiliate.

Copyright

All copyright, trademarks and all other intellectual property rights in the Website and its content (including without limitation the website design, text graphics, all software and source codes connected with The Website) are owned by or licensed to a-hub or otherwise used by a-hub as permitted by law.

Indemnity

You agree to indemnify and hold a-hub and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against a-hub arising out of any breach by you of these Terms & Conditions.

Governing law

The Laws of England govern this agreement at all times. All parties are bound to the jurisdiction of the English Courts for the settlement of any disputes or claims that arise from participation in this service or in connection with this agreement.
